Banking Law
We represent banks and other financial institutions in the structuring, negotiation and preparation of documents for all types of commercial loan transactions including tax free loans, term loans, lines of credit, asset based loans, merger and acquisition loans, equipment leasing, bridge loans, SBA guaranteed loans, syndications and participations. The attorneys in the Commercial Services Group have prepared computerized “shelf” documentation for numerous banks customized to meet the specific needs of a particular client on a system wide basis. The attorneys in the Commercial Services Section also appear on behalf of financial institutions before state and federal regulatory agencies and advise financial institutions concerning all aspects of regulatory law.
Municipal Finance
Our attorneys act as municipal bond counsel and represent schools, counties, boroughs and townships in general obligation and municipal authority revenue bond issues, the aggregate value of which is in the billions of dollars. We have acted as bond counsel for Commonwealth of Pennsylvania or Commonwealth agency bond issues and as bond counsel and underwriter’s counsel in matters for schools, colleges and universities, hospitals, water and sewer facilities, and refunding issues. We have also served as bond counsel and issuer’s counsel for industrial revenue bond issues.
Our attorneys have lectured on school district and municipal finance for the Pennsylvania Association of Bond Lawyers, the Pennsylvania School Boards Association, the Pennsylvania Association of School Business Officials and Intermediate Units.
Tax Exempt Entities
We assist clients in the formation of not-for-profit entities, including charitable, religious and fraternal groups. We also assist clients in applying for and maintaining tax exempt status with the Internal Revenue Service.
